Legal - Terms of Service

These Terms of Service ("Terms") govern your use of the website at devplusops.com (the "Site"), operated by DevPlusOps LLC ("DevPlusOps", "we", "us"). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.

1. The Site and our services

The Site describes our cloud, DevOps, software development, security and digital-marketing consulting services and lets you contact us, subscribe to our newsletter and talk to an AI voice assistant. Consulting and development engagements are governed by a separate written agreement (such as a statement of work or master services agreement). Where that agreement conflicts with these Terms, the agreement controls for that engagement.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Site. If you use the Site on behalf of a company, you represent that you are authorised to bind it to these Terms.

3. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in breach of any applicable law;
• submit false, misleading or infringing information through our forms or the voice assistant;
• probe, scan, attack or attempt to gain unauthorised access to the Site, its infrastructure or any connected system;
• scrape, crawl or copy the Site by automated means except as permitted by our robots.txt;
• use the voice assistant to generate abusive, harassing or unlawful content, or to attempt to extract its underlying prompts or models;
• interfere with the operation of the Site or impose an unreasonable load on it.

4. AI voice assistant

The voice assistant is an automated system. Its responses are generated by machine-learning models, may be inaccurate or incomplete, and do not constitute professional, legal or financial advice or a binding offer from DevPlusOps. Conversations are recorded and transcribed as described in our Privacy Policy. Do not share sensitive information such as passwords, payment-card numbers or health data with the assistant.

5. Intellectual property

The Site and its content, including text, graphics, logos, images, code and design, are owned by DevPlusOps or its licensors and are protected by copyright, trademark and other laws. You may view and print pages for your own internal business use. Any other use, including reproduction, modification or distribution, requires our prior written consent. "DevPlusOps" and our logo are trademarks of DevPlusOps LLC.

6. Your submissions

You retain ownership of information you submit through the Site. You grant us a non-exclusive, royalty-free licence to use it for the purposes of responding to you, providing our services and improving the Site and the voice assistant. You are responsible for the accuracy of what you submit and for having the right to submit it.

7. Third-party links and services

The Site links to third-party websites and relies on third-party services. We do not control them and are not responsible for their content, availability or practices. Your use of them is at your own risk and subject to their terms.

8. Disclaimer of warranties

The Site is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components, or that information on it is accurate or current.

9. Limitation of liability

To the fullest extent permitted by law, DevPlusOps and its officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or goodwill, arising from your use of or inability to use the Site, even if advised of the possibility. Our total liability for any claim relating to the Site is limited to one hundred US dollars (US$100). Some jurisdictions do not allow these limitations, so they may not apply to you.

10. Indemnity

You agree to indemnify and hold DevPlusOps harmless from any claims, damages and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

11. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we believe you have breached these Terms. Sections 5 and 8 to 13 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. Before filing a claim, you agree to contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least 30 days.

13. General

These Terms, together with our Privacy Policy, are the entire agreement between you and DevPlusOps regarding the Site. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to a successor.

14. Changes to these Terms

We may revise these Terms at any time by posting the updated version on the Site. The date at the top shows when they were last revised. Continued use of the Site after a change means you accept the revised Terms.
